1. Definitions

1.2        “Customer” means the individual or entity subscribing to the products or services.
1.3         “GST” means Goods and Services Tax as defined in the Goods and Services Act (1985).
1.4        “Delivery Point” refers to the location where the products will be delivered.
1.5         “Price” refers to the stated price of products on the Website, excluding GST.
1.6         “Product” refers to the products sold and marketed by Boutique Connection.
1.7        “Services” refers to all services provided by or on behalf of Boutique Connection.
1.8         “Website” refers to the website operated by Boutique Connection for the sale and delivery of products and services.
1.9         “We” / “Us” refers to Boutique Connection Limited.
1.10        “You” refers to the customer subscribing to our products or services.

2. Age Verification

2.1         You must be at least 18 years of age to subscribe to any products or services from Boutique Connection. By entering into a subscription, you confirm you are 18 or older.
2.2        We reserve the right to verify your age and refuse service if we believe you are under 18.

3. Subscriptions, Password, and Login Details

3.1         We offer various subscription packages through our Website.

3.2         By subscribing to one of our packages, you agree to the ongoing renewal of your subscription. Your payment will be automatically processed on the 1st of each month for the upcoming month’s products.

3.3        Wine will be dispatched during the first week of each month for all active subscriptions.

3.4        If you wish to cancel your subscription, you must notify us before the 1st of the month to avoid payment for that month’s delivery.

3.5        We reserve the right to modify subscription prices, services, or products. Any changes will be communicated in advance and reflected on the Website.

3.6        You are responsible for all actions taken under your account, including ensuring the security of your login details. If you believe your account has been compromised, please inform us immediately so we can assist.

4. Gift Vouchers

4.1        Gift vouchers may be purchased on the Website and redeemed for one-off or subscription deliveries.

4.2         To purchase a gift voucher, you must confirm you are over 18 and provide the recipient’s details for delivery.

4.3         Once issued, gift vouchers cannot be redeemed for cash.

4.4         Gift vouchers are non-refundable and may only be replaced at our discretion.

5. Acceptance of Orders

5.1         Orders for products must be received by us no later than the 20th of the month to be processed for delivery in that same month.

5.2         Your order constitutes an offer to purchase, which we may accept or decline. If accepted, a binding contract is formed, subject to these terms and conditions.

6. Payment

6.1         Payments for subscription products will be deducted from your account on the 1st of each month.

6.2        If payment is declined, your subscription may be paused until payment is successfully processed.

6.3        If payment is not received, we reserve the right to suspend or cancel your subscription until the payment is resolved.

6.4         Any discrepancies with charges will be rectified by issuing a credit or debit to your account.

7. Availability of Product

7.1        We will make reasonable efforts to fulfill your order. However, product availability is subject to supplier restrictions.

7.2         If a product is unavailable, we may substitute it with a comparable product or credit your account.

8. Risk and Delivery

8.1         Delivery will be made to the Delivery Point specified in your order, either by courier or other methods.

8.2        Delivery is typically completed within the first week of the month, but timing may vary. We will notify you if there are any delays.

8.3        If we cannot deliver to the specified address, we will notify you with the reason for the failure.

8.4        Delivery is deemed complete when the product is handed to you or left at the Delivery Point. If delivery cannot be completed, the associated costs will be your responsibility.

9. Title

9.1        Ownership of the products transfers to you only once full payment is made for all products and services provided.

9.2 We reserve the right to reclaim any unpaid products from your premises if required.

10. Disputes and Returns

10.1         You must inspect the products within 24 hours of delivery and notify us of any issues within 3 days.

10.2         Returns are accepted only with prior approval, a return authorisation form, and must be within 14 days of receipt in their original condition.

11. Liability

11.1        We are not liable for any loss or damage arising from the delivery or use of products unless required by law.

11.2         Our liability is limited to a refund or replacement of defective products.

12. Consumer Guarantees Act 1993

12.1         The Consumer Guarantees Act does not apply if the product is purchased for business purposes.

12.2         We do not guarantee the fitness of the products for a particular purpose.

13. Warranties

13.1        Products are provided "as is," and we do not warrant their availability or quality.

14. Indemnity

14.1         You indemnify us against any claims or losses resulting from the use of our products or services.

15. Cancellation

15.1         You can cancel your subscription at any time before the 1st of the month for the upcoming month’s delivery.

15.2        If a payment issue arises, we may suspend or cancel your subscription.

15.3         Any fees incurred due to non-payment or cancellation will be your responsibility.

16. Privacy, Collection, and Use of Information

16.1        By subscribing, you authorise us to collect and use your personal information in accordance with our Privacy Policy.

17. Intellectual Property Rights

17.1         All intellectual property rights related to our Website are owned by us.

18. Force Majeure

18.1        We are not liable for delays or failures due to circumstances beyond our control, such as natural disasters or product shortages.

19. Waiver

19.1         Failure to enforce any term does not waive our rights to enforce it in the future.

20. Severability

20.1        If any part of this contract is invalid, the rest remains in effect.

21. Assignment

21.1         You may not assign your rights or obligations without our consent.

22. Conflict

22.1         These terms and conditions prevail over any conflicting order instructions.

23. Governing Law

23.1         These terms are governed by New Zealand law, and you submit to the jurisdiction of New Zealand courts.

26. Our Discretions
